3 Asian Legal Business | December 2024 Hong Kong’s capital markets have witnessed a significant surge in takeprivate deals in recent years, as geopolitical tensions and China’s soft economic outlook dampen fundraising appetite in what was once Asia’s premier financial hub. The privatisation trend in Hong Kong reflects a broader recalibration of corporate strategies in response to evolving market realities. In 2022 and 2023, the Hong Kong Stock Exchange saw 16 and 12 completed take-private deals respectively, with the current year having seen 13 so far. Janney Chong, corporate finance partner at Robertsons, notes that the majority of these transactions involved companies incorporated in overseas jurisdictions primarily the Cayman Islands and Bermuda, giving rise to potential legal challenges due to discrepancies in take-private regulations in different jurisdictions. The example offered by L’Occitane International has illustrated the complexities of the market. Initially attracted by the booming Chinese market, L’Occitane International was grappling with challenges as the coutnry’s consumer demands shrunk, draining the company’s share prices. But its take-private journey was far from plain sailing, underscoring the technical difficulties involved, particularly for companies incorporated outside Hong Kong. This process involved winning over regulators in both jurisdictions and using an alternative method based on the company’s articles of association to squeeze out remaining shareholders. In general, lawyers note that companies pursuing take-private deals could face numerous challenges, including regulatory barriers across different jurisdictions, high thresholds for shareholder approval, potential legal risks from dissenting shareholders, and significant time and cost investments. They must also carefully consider the long-term benefits of delisting against the loss of visibility and access to capital markets. In July, Baidu’s Apollo Go began large-scale deployment of driverless cars in cities like Wuhan, sparking widespread public debate. By October, Tesla launched its Cybercab, a fully autonomous taxi, thrusting self-driving technology into the global spotlight. Meanwhile, as commercialization ramps up, China’s autonomous driving sector has seen a flurry of financing activity in 2024. Following the stock CHINA TECH COLUMN market debuts of Hesai Technology and Zhixing Technology, August saw Black Sesame Technologies—the “first autonomous driving chip stock”— listed in Hong Kong. In October, Horizon Robotics completed the largest tech IPO of the year on the Hong Kong Stock Exchange, while WeRide became the “first global general autonomous driving stock” with its Nasdaq listing. According to Raymond Wang, a partner at Shihui Partners, the autonomous driving industry is divided among internet giants, emerging automakers, and autonomous driving startups, with traditional automakers playing catch-up. “Each segment is fragmenting, with clear frontrunners emerging. A fierce elimination race is ahead,” says Wang. He notes that Tesla’s pioneering endto-end autonomous driving technology is reshaping the industry, prompting domestic companies to follow suit and potentially triggering a shakeout. Wang explains that traditional rulebased solutions used by major autonomous driving companies rely on vehicle sensors and high-definition maps to create a static and dynamic representation of the external environment, which guides decision-making and vehicle control. However, these systems are complex, costly, and computationally intensive. “End-to-end systems operate like generative AI, responding directly to realworld contexts. However, they also pose challenges, such as ‘black box’ issues and difficulties in assigning liability, which will require legal frameworks to adapt alongside technological advancements,” Wang adds. The promise of autonomous driving is as transformative as it is complex. Yet, its journey to widespread adoption comes with significant regulatory and legal challenges, particularly in ensuring public safety and addressing accountability. As a representative of emerging industries, autonomous driving has seen a push for growth, yet, Wang explains, “Securing road test licenses and market access for driverless vehicles requires meeting a series of technical and safety standards, presenting a significant legal challenge for companies.” Another key issue lies in determining liability when accidents occur. “Depending on the level of automation—such as L4 or L5—the responsible party could be the manufacturer, software developer, or vehicle owner,” says Wang. “The current legal framework struggles to clearly allocate responsibility, leading to ambiguity in assigning liability after accidents.” Privacy and data security present another pressing concern. Autonomous vehicles, which rely on vast amounts of data to make independent decisions, must collect user and environmental information during operation. “This raises significant risks for personal privacy and data protection,” Wang says, adding that advising companies on full-lifecycle data compliance has become a core focus for external lawyers in this field. As autonomous driving technologies evolve rapidly, Wang predicts that the alignment of regulations with innovation will remain a central issue. “The collaboration between law and technology will be critical to watch in the future,” he says. 汽车自动驾驶技术研发、测试已多年, 但在2024年进入了公众视野中的“发 展元年”。7月,百度旗下的“萝卜快跑” 无人车在武汉等地开启大规模投放,引 发舆论探讨;10月,特斯拉首发无人驾 驶出租车Cybercab,自动驾驶延展为 全球范围内的顶流话题。 截止今年8月底,中国已累计发放 自动驾驶汽车测试号牌1.6万张,开放 公共测试道路3.2万公里,自动驾驶正 加速走入日常生活。 与此同时,伴随中国自动驾驶相关 公司商业化压力加增,2024年该领域的 融资活动也十分频繁。继禾赛科技、知 行科技登陆资本市场后,今年8月,“自 动驾驶芯片第一股”黑芝麻完成香港上 市;10月,智能驾驶芯片公司地平线完 成年内港股最大科技IPO,文远知行则 登陆纳斯达克,成为“全球通用自动驾 驶第一股”;11月底,小马智行同样完成 了纳斯达克上市,成为“全球Robotaxi 第一股”。 目前,该领域纵目科技、Momenta 等领军公司也已提交上市申请。 此外,大型车企也在加入自动驾驶 版图。据咏竹坊报道,比亚迪、小鹏已在 自动系统内部开发上投入大量资金;大 众也与地平线设立合资公司,并向其投 资了24亿欧元。 技术演进 世辉律师事务所合伙人王新锐律师 的客户集中于科技领域,他也一直关注 并服务于中国自动驾驶产业的发展。王 律师总结道:“目前自动驾驶产业链可 分为互联网大厂、造车新势力和自动驾 驶创业公司几类,传统整车厂也在奋起 直追。” “我们的观察是:每个类别都在分 化,并出现明显的领跑者。从融资和商 业化角度,百花齐放的阶段已经结束, 接下来会进入比较残酷的淘汰赛。”他 说,“其中的一大变数是由特斯拉引领 的端对端(end-to-end)自动驾驶技 术,国内公司也都在仿效、追赶这一技 术路线,可能会带来行业洗牌。” 王律师解释道,此前境内外主流厂 商使用的主要是“基于规则”(RuleBased)的自动驾驶方案,需要先通过 车辆传感器获取动态信息,再加入高精 地图等静态信息,共同构建出对外部世 界的描述,基于此做出决策,再对车辆 下达控制命令,其所涉及的系统复杂, 成本和算力要求也非常高。 2016年前后,新的端对端方案开始 出现,其更接近于人的驾驶习惯——即 看到人类驾驶员所看到的场景,继而经 过神经网络处理后产生类似于人类的 驾驶行为。 “端到端方案由模型基于海量的真 实驾驶数据自动学习而来,将直接根据 实际情境做出驾驶应对,更趋近于生成 式人工智能。”王律师说。不过,“端对端 方案会带来更多的黑箱问题及可追责 性方面的挑战,有待未来法律法规的持 续发展与最新的技术和风险相适配”。 法律问题与监管现状 自动驾驶的普及无疑将极大提升出 行便利,但其关乎公共交通,牵涉人身安 全与公众福祉,其发展因此也呼求监管 的快速跟进。 “目前中国围绕自动驾驶的产业发 展、道路测试、交通安全、网络和汽车数 据、产品准入、高精地图等均已开展立法 工作,且已有大量文件出台。”王新锐律 师说。不过自动驾驶行业在几个维度依 然面临着比较突出的法律问题。 首先是行业准入。作为新质生产力 的代表产业,中国正积极推动自动驾驶 行业发展并颁发相关牌照,但“获取自 动驾驶道路测试牌照和无人驾驶汽车 市场准入许可仍需要满足一系列技术 标准和安全要求,对企业来说是一个重 要的法律挑战”。 其次是一旦出现安全事故的法律责 任主体问题。王律师说:“根据自动驾驶 汽车的自动化等级——如L4、L5,不同的 责任主体可能包括制造商、软件开发者、 车辆所有者等,当前法律体系难以清晰 划分各方责任,导致在事故发生时责任 归属模糊。” 在此方面,地方层面的立法十分积 极,例如《深圳经济特区智能网联汽车 管理条例》《北京市自动驾驶汽车条例 (征求意见稿)》等,都对自动驾驶汽车 在汽车交通事故中侵权责任分配问题 进行了明确。 不过整体而言,目前中国相关立法 的概况是,“中央层面的基础性规则文件 较为缺乏,鉴于上位法尚未修改,地方立 法较难进行突破性规定”,王律师指出。 自动驾驶行业面临的第三重法律挑 战则在于,由于需要由车辆和系统进行 自主判断,因此“在运行过程中会收集 大量用户和环境数据,会引发个人隐私 和数据安全的问题”。因此,王律师说, 为自动驾驶企业提供全生命周期数据 合规服务目前是外部律师的重要工作 内容之一。 数据之外,目前外部律师提供的其 他服务也具备一定独特性。例如人工智 能合规,包括“人工智能相关算法技术安 全、算法备案、内容治理风控、大模型合 规框架搭建等”,以及技术转让协议相关 的知识产权问题、导航电子地图制作相 关的测绘资质等。 下一步,在自动驾驶技术飞速革新 的背景下,“我们理解,法规与技术的协 同发展将是值得关注的主要问题”,王 律师预期道。

7 Asian Legal Business | December 2024 Brought to you by Grandway Law Offices 新《公司法》对私募基金 股权回购纠纷的影响 私募基金股权回购纠纷是当下多发且争议不休的热点 问题。在该类纠纷中,投资人同时也是目标公司的股东,因 此,今年7月生效的新《公司法》对私募基金股权回购纠纷的 解决有着深远影响。 (一)定向减资限制对股权回购纠纷的影响 一旦双方当事人约定由目标公司进行回购,新《公司 法》规定的定向减资限制制度就会对回购的履行有所影响。 具体来说,通常情况下,公司不能任意回购自己的股份,否 则就可能是变相减资。新《公司法》第162条规定了几种公司 可以回购股份的情形,其中就包括减少公司注册资本。对于 减少注册资本,新《公司法》第224条第三款规定了在原则上 目标公司不得向某一特定股东“定向减资”,除非满足例外 情形。公司法之所以对定向减资作出限制除了保护债权人 利益的原因外,核心的原因在于,公司减资原则上应该按照 各股东股权比例进行,实现同进同退,此为平等对待股东原 则的具体化 。 这一新增规定使得投资者不仅需要参与对赌 的股东的配合,还需其他中小股东的同意,才能确保减资决 议的顺利履行。这无疑增加了投资者的协调成本,而作为回 购义务人的目标公司还有可能故意制造减资程序的障碍, 如股东会不通过减资决议、串通当事人提出减资异议、拒不 提供债权担保或通知债权人程序瑕疵、减资公告存在问题 等方式,恶意妨碍减资程序的完成 。这就使得对赌协议的可 履行性被架空。更有甚者,违反定向减资限制还有承担违法 减资、抽逃出资责任的风险。 但需要特别注意的是,定向减资并非必然违反平等对 待原则,本次公司法修订也考虑到,如果对定向减资的限制 过多,有可能走向另一个极端,即只关注资本维持原则,过 分关注债权人利益的保护,只看形式上是否完成减资程序, 而不看实质上是否有抽逃出资以至于严重影响目标公司债 务清偿能力的可能。为了避免这种倾向,立法者规定了限制 定向减资的例外情形。虽然新《公司法》增加了第三款的规 定,但至少相较于三审稿,新《公司法》对股权回购的限制呈 现了放宽与“松绑”的态度,增加第三款可能只是为了在投资 人、与公司债权人等多方整体利益的保护中做出权衡。但为 了避免过分保护债权人的利益,新《公司法》也赋予了投资人 为了回购权行使便利而另行约定的权利。因此,不能片面地 认为公司法修订旨在给予私募基金股权回购更多限制。 (二)异议股东回购请求权对股权回购纠纷的影响 在实践中,控股股东滥用股东地位损害中小股东利益 的情形常有发生,产生“股东压迫”现象。新《公司法》为了维 护中小股东的利益,保证中小股东与大股东在一定程度上 的平等,出台了一系列的措施“武装”小股东。其中,本次公 司法修订在第89条增加的控股股东滥用权利时少数股东的 回购请求权的规定,开辟了中小股东通过回购方式退出公 司的新路径,为少数股东权益受到侵害但是退出无门提供 了新的救济途径。但需要提示的是,新《公司法》第89条不 适用于股份有限公司。如果目标公司后续有股份制改革,投 资人应注意同步修改公司章程或相关协议,对控股股东滥 用股东权利造成公司或其他股东损失的,投资人有权要求 公司强制回购股份 。同时,新《公司法》在第192条通过引入 域外的“影子董事”制度,使得指示董事、高级管理人员从事 损害公司或者股东利益行为的控股股东、实际控制人与该 董事、高级管理人员承担连带责任。这对实务中控股股东、 实际控制人不积极履行回购义务时投资人维权提供了新的 路径。 (三)禁止财务资助的规定对股权回购纠纷的影响 在私募基金股权回购纠纷的司法实务中,由于受到公 司资本维持原则的影响,约定由目标公司作为对赌协议的 回购义务人经常面临履行不能的问题,许多投资者转而约 定由目标公司的股东,特别是控股股东、实际控制人作为回 购义务人。但问题在于,控股股东和实际控制人作为个人承 担责任时不一定有足够的财产可供履行。因此,投资人可能 会约定“变相对赌”的条款,即明确约定目标公司对回购义 务承担连带保证责任。可以说在这种“变相对赌”条款中,目 标公司通过承担连带保证责任,避免了与参与对赌的投资 者直接发生“资本性交易”,绕开了公司减资等程序性要求, 参考(2016)最高法民再128号案、(2017)最高法民再258 号案,上述“变相担保”存在被法院认可的可能 。 但需要注意的是,新《公司法》在第163条新增了公司不 得为他人取得本公司或者公司的母公司股份提供赠与、借 款、担保以及其他财务资助的规定,除非公司实施了员工持 股计划。虽然新《公司法》刚刚落地实施,有关该条文的实务 处理有待实践检验,但对私募基金对赌的行为进行拆解,可 以发现,如果是投资人与股份公司的股东签订对赌协议,该 股份公司又为回购义务提供担保,在此基础上投资人取得 了股份公司的股份,这样的行为完全在新《公司法》第163条 的涵摄范围之内。因此,如果目标公司是股份公司,并且在 签订对赌协议时为股东的回购义务提供连带保证责任,则 存在违反新《公司法》第163条禁止财务资助的风险。 何海锋 北京国枫律师事务所 合伙人 hehaifeng@grandwaylaw.com 陈豪鑫 北京国枫律师事务所 律师 chenhaoxin@grandwaylaw.com

Resilience amid challenges In 2024, a widely accepted reality is that China’s economy has transitioned from a phase of rapid growth to one of adjustment. This shift has inevitably impacted many businesses, and the in-house teams featured in this year’s list unanimously describe the past year as particularly challenging. Linda Li, Head of Legal, Greater China at La Prairie, notes that the brand’s rapid growth in the Chinese market has brought both opportunities and unforeseen challenges. “We must quickly analyze situations, propose solutions, and act as a bridge between Greater China and headquarters to minimize potential losses,” she explains. The team has relied on expertise and a proactive approach, with “preparation” being a key focus over the past year. “Success depends on preparation, failure on neglect,” Li emphasizes. They have introduced targeted training for key departments like e-commerce, marketing, and sales to strengthen risk awareness and response capabilities, effectively reducing legal risks. Looking ahead, Li acknowledges that economic growth naturally fluctuates, and companies will ultimately need to develop their “second growth curve” to sustain long-term success. She sees this as an opportunity to consolidate strengths, adjust strategies, and prepare for the future. “With thoughtful preparation, we can be ready to seize opportunities as the next wave of growth arrives,” she concludes. Meanwhile, IoT technology company SUNMI Group has been riding the wave of globalization. According to a 2022 Nielsen report, its proprietary SUNMI Android devices ranked first globally in POS terminal shipments. Shawn Ma, Legal Director of SUNMI Group, shares that navigating 2024’s complex international landscape has been offered challenges and opportunities for both the company and its legal team. “IoT technology is increasingly integrated with cutting-edge advancements like AI, big data, and cloud computing, serving as a driving force for digital transformation in business. This means our legal challenges go beyond complex compliance issues—we must also anticipate regulatory trends and adapt accordingly,” Ma explains. As a legal professional in the rapidly evolving tech industry, Ma stresses the importance of maintaining sensitivity and foresight. He summarizes the legal team’s work last year with three principles: “Professional Efficiency,” “Steady Safeguarding,” and “Innovation-Driven.” The team has upheld a commitment to professional and efficient work, actively engaging in the company’s business activities with sound legal judgment and swift execution. They have ensured regulatory compliance while proactively managing legal risks and challenges. Additionally, through continuous innovation in institutional development and compliance management, the team has elevated SUNMI’s legal operations to new heights. Embracing transformation When faced with challenges, outstanding in-house teams choose to fully embrace change. For instance, Midea Group’s Global Legal Team, led by Jeanne Kang, Midea Global General Counsel, has focused on adapting to the unprecedented transformation within the home appliance industry. “The competition in the home appliance market is intensifying, technology is advancing rapidly, and compliance standards are becoming stricter,” Kang explains. The team has concentrated on key areas such as intellectual property, driving the development of high-value patents, enhancing global IP strategy, and strengthening cross-border enforcement capabilities. Compliance remains another critical focus, with efforts dedicated to refining the compliance framework and analyzing global regulatory trends to ensure steady growth for the company’s global operations. Kang further highlights significant achievements in 2024, including assisting Midea Group in successfully listing in Hong Kong, facilitating several cross-border mergers, and expanding overseas markets through investments. The team also restructured its legal department to align closely with business units and bolster support for international operations. For Feng Lin, General Counsel of CR Capital Management, “embracing transformation” was the legal team’s defining theme for 2024. “The changes we faced stemmed from shifts in the private equity market, regulatory requirements, industry dynamics, and organizational restructuring.
