He elaborated on the background and basis for domestic companies listing in Hong Kong, statistics on overseas listed companies’ filings, and statistics on companies listing in Hong Kong. Subsequently, Yu introduced the legal review points and difficulties regarding equity, shareholders and control structure, equity incentives, business compliance, and independence. Finally, based on his practical experience, he offered suggestions on the content and format of filing materials, handling of uncertainties, and other issues that require attention. Chen, on the other hand, focused on the topic of listing in the United States. Starting from the significance of the new filing regulations, noting that these regulations mark a significant transformation in the regulatory framework for the overseas issuance and listing of domestic enterprises. She also presented specific data about the companies that have filed for listing in the US. Subsequently, Chen discussed several major review focus points of the China Securities Regulatory Commission, emphasizing that aspects such as corporate equity structure and changes, compliance in acquiring domestic assets/rights, business operation compliance review, data security/personal information protection, and shareholders should not be overlooked. Finally, she conducted a detailed analysis of the key focus areas of the VIE structure and the conflicts between information disclosure and legal requirements. After a lively networking lunch, the summit moved on to the afternoon agenda. The afternoon session began with the second panel discussion, chaired by Luo Yiling, a senior partner at Lianyue Law Firm. The discussion featured Joanna Chu, legal director at Kuang-Chi Technologies; Zhuangguo Huang, senior manager of the legal department at Eastroc Beverage; and Xie Yi, legal director at BAMA TEA Stock. They shared insights on the theme “Exploring New Ideas for Corporate Intellectual Property Protection in the Digital Era - The Active Role of Corporate Legal Affairs and Lawyers.” The guests expressed their views on the impact of new technologies on intellectual property protection and shared the practical measures their teams have taken in response. Subsequently, the summit welcomed Quan Kaiming, a partner at AllBright Law Offices, who delivered a speech on “The Latest Legal Practice of Corporate Compliance Governance in the Greater Bay Area under the Influence of Digital Wave.” Quan started by analyzing the importance of the digital economy to economic and social development, beginning with the integration of digital and physical assets, value management, and market expansion. He then detailed three major issues related to digital assets entering financial statements, explaining the value of digital asset inclusion for companies and the potential legal issues and operational challenges that might arise. Quan Kaiming pointed out that there are certain problems and limitations with holding data resources, and the activity level of platform transactions needs to be enhanced, emphasizing the importance of trading and exchanging data resources. Finally, he suggested adjustments in the positioning of legal professionals and proposed accelerating the capacity for digital iteration. After a tea break, the summit introduced a new workshop session, inviting all attendees to discuss the topic “Enterprise Risk Management and Response.” Participants drew a lot of inspiration from previous speakers, shared their views passionately, discussed the real challenges they face in their work, and proposed solutions to each other. Amid an atmosphere of enthusiastic applause, the summit proceeded to its third discussion topic, chaired by He Hui, a senior partner at AllBright Law Offices. The panel included Li Qiongjia, head of legal at Hive Box Network Technology; Xiang Yaqi, PE chief risk officer at Ping An Trust; Xu Qian, general counsel, deputy general manager, and secretary of the board of directors at BGI GENOMICS; and Zhao Aiting, regional legal director at Meituan. They shared insights on the theme “Digital ‘Intelligent’ Transformation: Enterprise Risk Management and Response Strategies.” The guests elaborated on the multifaceted new risks faced by enterprises in the context of new technologies and shared how their teams have responded to these challenges. With warm applause from the attendees, the 2024 ALB Shenzhen In-House Legal Summit came to a successful conclusion.
