Much like its counterpart Litigators of Asia, the ALB Dealmakers of Asia 2024 profiles showcase the region’s most influential and accomplished legal professionals who have made significant contributions to the dynamic landscape of Asian business law and are shaping the future of dealmaking across the continent.

In an era of economic uncertainty, geopolitical tensions, and rapidly evolving market conditions, the role of skilled dealmakers has never been more critical. Successful attorneys are those who have demonstrated exceptional expertise, innovation, and leadership in navigating the complex and often unpredictable business environment of Asia.

These legal professionals are at the forefront of guiding clients through challenging times, structuring resilient deals, and identifying opportunities amidst volatility. Their ability to adapt to shifting regulations, manage cross-border complexities, and innovate in deal structures has proven invaluable in maintaining economic momentum and fostering growth across various sectors.

As Asia continues to be a key driver of global economic growth, despite prevailing uncertainties, the expertise of these dealmakers becomes ever more crucial. Their work not only facilitates individual transactions but also contributes to the overall stability and development of Asian markets. They provide essential insights into addressing current economic challenges, mitigating risks, and creating value for clients in an uncertain landscape.

The strategies employed by these legal experts for navigating regulatory changes, leveraging technology, and structuring deals that withstand market fluctuations offer valuable lessons for the entire legal and business community. Their deep understanding of local markets, combined with a global perspective, enables them to craft innovative solutions that bridge cultural and regulatory divides.

Additionally, in an age where sustainability and corporate responsibility are increasingly central to business strategies, these dealmakers are also playing a pivotal role in integrating ESG (Environmental, Social, and Governance) factors

into transactions. Their ability to navigate these new dimensions of dealmaking is crucial for businesses looking to thrive in the long term while meeting evolving stakeholder expectations.

In the dynamic world of Indonesian corporate law, Jennifer B. Tumbuan stands out as a formidable force. With over two decades of experience, she has earned accolades and respect from peers and clients alike. Her journey from a promising law graduate to a distinguished Senior Partner exemplifies her exceptional skills, dedication, and visionary leadership.

Jennifer’s academic prowess laid the foundation for her illustrious career. After graduating from the prestigious Faculty of Law at the University of Indonesia in 1998, she furthered her expertise by earning an LL.M degree in International Business Law from Leiden University in the Netherlands in 2003. This solid educational background, combining local insights with international perspectives, has been instrumental in shaping her approach to complex legal challenges in an increasingly globalized business environment. Since joining Tumbuan & Partners (T&P) as a managing partner in April 2011, Jennifer has been at the forefront of groundbreaking legal work in Indonesia. Her expertise spans a wide array of practice areas, including capital markets, banking and finance, mergers and acquisitions, debt restructuring, and general corporate matters. In addition to being a licensed Advocate (PERADI-SAI) and Capital Market Legal Consultant (HKHPM) in Indonesia she is also a registered Trustee in Bankruptcy and Administrator (AKPI) with the Ministry of Law and Human Rights of the Republic of Indonesia, and has recently become certified in audit committee practices and holds a CACP certification. Jennifer’s versatility and depth of knowledge have made her an indispensable asset to both the firm and its diverse clientele.

One of Jennifer’s most notable strengths lies in her ability to navigate the intricate world of capital markets. Her involvement in numerous high-profile transactions, including IPOs, rights issues, and bond offerings, has solidified her reputation as a go-to expert in this field. Her work on complex deals, such as PT Wijaya Karya (Persero) Tbk’s (“WIKA”) debt restructuring of its bank and financial institution loans and the shelf bonds offering of up to IDR5 trillion (USD333 million) by PT Sinar Mas Agro Resources and Technology Tbk (SMART), showcases her ability to handle large-scale, multi-faceted transactions with finesse.

Jennifer’s expertise extends beyond traditional corporate law into emerging sectors like fintech and venture capital. Her work with various venture capital firms investing in Indonesian start-ups demonstrates her forward-thinking approach and ability to adapt to evolving market trends. This versatility has been crucial in establishing T&P as a leading firm capable of addressing the diverse needs of both established corporations and innovative start-ups.

The legal community has consistently recognized Jennifer’s exceptional contributions to the profession. Her numerous accolades include being named Dealmaker of the Year 2024, Managing Partner of the Year 2021 and Woman Lawyer of the Year 2020 by ALB Indonesia. She has also been recognized as a Distinguished Practitioner in Banking and Finance and Capital Markets by Asia Law Profiles and as a Highly Regarded Lawyer in Capital Markets and Mergers & Acquisitions by IFLR1000. Beyond her professional achievements, Jennifer’s commitment to the legal community and society at large is evident through her active involvement in various organizations. As the Vice Chairman of the International Cooperation Committee of PERADI-SAI and the Secretary General of HKHPM, she plays a crucial role in shaping the future of the legal profession in Indonesia. Her position as Head of Legal and Government Affairs of AMVESINDO further underscores her commitment to fostering innovation and economic growth in the country. Jennifer’s influence extends beyond the boardroom and courtroom. As a frequent speaker, moderator, and resource person at seminars and conferences, she contributes significantly to legal education and professional development in Indonesia. Her involvement in discussions on topics ranging from fintech regulations to capital market instruments for infrastructure projects demonstrates her commitment to staying at the forefront of legal developments and sharing her knowledge with the wider legal community.
