Pillsbury Winthrop Shaw Pittman has advised Japan's NTT Data Corp in its $3 billion acquisition of Dell Inc's IT consulting division, Dell Systems, which turned to Hogan Lovells for counsel.

NTT Data said it would pay around $3.05 billion for Dell Systems, excluding debt and advisory fees. The Japanese company’s acquisition is aimed at gaining a foothold in North America where it is looking to expand in healthcare IT, insurance and financial services consulting. 

The deal will allow U.S. computer maker Dell to trim some of the $43 billion in debt it is taking on to fund its pending cash-and-stock acquisition of data storage provider EMC Corp, a deal worth close to $60 billion.

A U.S.-based Pillsbury team, led by San Francisco partner Blair White, advised NTT Data on the acquisition. He was assisted by partners Patrick Devine, Julie Divola, Glenn Snyder, David Jakopin, Howard Clemons, Peter Hunt, Jeffrey Knight, John Jensen, Stephan Becker, Philip Tendler, Andrew Lanphere and Mario Dottori.
