Loeb & Loeb and Mori Hamada & Matsumoto have advised NASDAQ-listed SPAC (special purpose acquisition company) Pono Capital Two on its $1.2 billion de-SPAC merger with Japan’s SBC Medical Group Holdings.

This merger is aimed at expansion of its business network globally, SBC said in a statement. After the completion of the merger, SBC will change its name to SBC Medical Group.

Clifford Chance and Nishimura & Asahi have acted for private equity firm CVC Capital Partners on its 17-billion-yen ($1.2 billion) acquisition of Sogo Medical Group, Japan’s fifth-biggest pharmacy by store numbers. Sogo was represented by Mori Hamada & Matsumoto.
