Job Description

To provide legal and transactional support to the growing ECM and M&A transaction groups within the Bank.

Key Responsibilities

  • To work as part of the legal team to support and manage transactions and legal risks for ECM and M&A Transaction Group Functions with a particular focus on Hong Kong and North Asia
  • ECM product coverage includes initial public offerings, block trades, new issues, secondary placements, rights issues and other forms of equity fund raising. Other work coverage will include pre-deal, post-deal and non-deal support to teams ranging from RFPs, commitment letters, strategic cooperation agreements, pre-mandates, mandates, teasers, pitch books, MOUs, LOIs, NDAs, Lock-in undertaking, JBR lock-ins.
  • Working closely with the existing legal team, the candidate's daily work will involve reviewing and negotiating a range of legal documentation, managing transaction flow from a legal perspective including coordinating with various stakeholders within the Bank and external lawyers, delivering advice on a range of rules and regulations governing CF activities in HK including new Companies Ordinance, Securities and Future Ordinance, SFC Code of Conduct, Hong Kong Listing Rules and HK Takeovers Code and attending a range of internal committees and control meetings.

Qualifications

  • A junior lawyer around 2-4 years PQE who has gained solid experience in corporate finance matters and transactions preferably from a reputable multinational practice
  • Exposure to and experience in equity capital market works including ability to give sound advice on Securities and Futures Ordinance, Companies Ordinance (New), Listing Rules, SFC Code of Conduct and the HK Takeover Code
  • Exposure and prior experience on PRC clients desired but not essential
  • Ability to speak and write Chinese; good Mandarin skills
  • Possess strong interpersonal and communication skills and an ability to express oneself effectively and confidently
