Job Description

This team is focused on successfully implementing on key strategic projects for the bank involving Global Markets projects such as the migration of the Equity and Fixed Income derivatives businesses from EMEA to APAC, conducting cross border and Singapore due diligence on issuance of structured products such as structured notes, warrants or derivatives and ensuring that the new APAC based business has the relevant licenses and infrastructure. The projects will require an understanding of derivatives and the related hedging transactions such as cash securities and listed derivatives.

Key Responsibilities

  • Instructing and reviewing external legal opinions in connection with netting and clearing and external law firms with respect to offering notes in APAC, EMEA and Americas
  • Reviewing and and researching regulatory requirements with respect to counterparty/issuer with respect to structured products
  • Reviewing and updating template OTC termsheets, pricing supplements, confirmations other documents used in connection with structured product distribution
  • Reviewing and negotiating futures clearing agreements, clearing house rules and custody agreements
  • Reviewing and drafting infrastructure agreements supporting the note programme or its hedging including paying agency agreements, custody agreements and brokerage agreements
  • Advising Front Office stakeholders in APAC, EMEA and Americas and working together with legal and Compliance colleagues in those jurisdictions to establish effective controls to ensure that regulatory requirements are satisfied.

Essentials Skills and Qualifications:

  • Newly qualified to 7 years PQE
  • Ideally a qualified lawyer in either Singapore, HK, US, UK or Australia or open to strong Paralegals
  • Must have experience in top banking firms or top law firms
  • Must have prior experience with and/or knowledge of derivatives, structured notes, clearing, custody or futures
